Terms of Service

Effective September 3, 2026

These terms govern use of the Newton3 GRC Assessor. The application is provided by Newton3. By creating a firm account or signing in, the firm and each of its users agree to these terms.

1. What the service does

The GRC Assessor helps a law firm record an AI use case, assess it against the NIST AI Risk Management Framework and the ethics rules the firm follows, score the risks, and produce an assessment memo. Newton3 issues the assessment. The firm's counsel decides whether to adopt, condition or reject it.

2. The service is not legal advice

Assessments, memos, risk scores and action items produced by the application are governance work product. They are not legal advice and they do not create a lawyer and client relationship between Newton3 and the firm or between Newton3 and any client of the firm. The firm's counsel is responsible for every legal judgment, including whether a use case may proceed.

3. Accounts, firms and roles

Each firm has its own workspace. A firm administrator invites users and assigns roles. Firm data is separated at the database level so that one firm cannot read or change another firm's records.

  • The firm is responsible for who it invites and for removing users who leave.
  • Each user must keep sign in credentials confidential and must not share an account.
  • The firm must tell Newton3 promptly if it believes an account has been misused.

4. What the firm must not put into the application

The application is designed for de-identified governance descriptions. The firm must not enter client names, matter names, court identifiers, contact details or other direct identifiers. The identifier screen blocks a use case from being submitted while identifiers are found. The firm remains responsible for its confidentiality duties.

5. Acceptable use

  • Do not try to reach another firm's data or bypass the access rules.
  • Do not use the application to give legal advice to third parties.
  • Do not attempt to change how the assessment model behaves through text placed in firm content.
  • Do not resell, copy or republish the playbook content or the application itself.
  • Do not exceed the usage limits shown on the usage page or automate calls to defeat them.

6. Artificial intelligence in the workflow

The application uses a pinned commercial model to draft intake fields, findings, risks and memo narrative. Every draft is editable and every model run is logged with the model name and prompt version. Drafts can be incomplete or wrong. A person at the firm must review each draft before it is relied on. Firm text is never used by Newton3 to train a model.

7. Firm content and ownership

The firm keeps ownership of the content it enters and of the documents it uploads. Newton3 keeps ownership of the application, the playbook library and the assessment method. The firm may export and keep its memos and records. Newton3 may use aggregated statistics that do not identify a firm to improve the service.

8. Availability and changes

Newton3 aims to keep the application available but does not promise uninterrupted service. Features may change as the framework and the rules change. Material changes to these terms will be posted on this page with a new effective date.

9. Fees

Fees, billing periods and the number of firm users are set in the firm's written order with Newton3. Unpaid accounts may be suspended after notice.

10. Term and termination

Either side may end the agreement with written notice. On termination the firm may export its records for thirty days, after which Newton3 deletes the firm workspace and its stored documents. Sections about ownership, disclaimers and liability continue to apply.

11. Disclaimers and limits of liability

The application is provided as is, without warranty of fitness for a particular purpose. Newton3 is not liable for indirect, incidental or consequential loss, including lost profits or lost business. Total liability under these terms is limited to the fees the firm paid in the twelve months before the claim. Nothing in these terms limits liability that cannot be limited by law.

12. Governing law

These terms are governed by the laws of the State of Florida, without regard to conflict of laws rules. The courts serving Hillsborough County, Florida have exclusive jurisdiction.
